MASTER TERMS & CONDITIONS | K® (Kenzie) of SAUDI GULF HOSTiNG

1. 1. DEFINITIONS & INTERPRETATION
1.1 “Company”, “we”, “us”, “our” means K® (Kenzie) of SAUDI GULF HOSTiNG, including its shareholders, directors, officers, employees, affiliates, successors, and permitted assigns.
1.2 “Customer”, “you”, “your” means any individual or legal entity accessing or using the Services.
1.3 “Services” means all services provided by the Company, including but not limited to:
- Hosting and Cloud Services
- Data Center and Infrastructure Services
- Domain Name Registration and Management
- SSL / Digital Certificate Services
- Ancillary and related services
1.4 “Modules” means the service-specific legal documents incorporated into these Terms, including:
- Module A: Hosting & Cloud Services Policy
- Module B: Data Center & Infrastructure Terms
- Module C: Domain Name Registration Policy
- Module D: SSL / Digital Certificate Policy
- Acceptable Use Policy
- Privacy Policy (PDPL)
- Data Processing Addendum
- Billing, Refund & Currency Policy
1.5 Headings are for convenience only and do not affect interpretation.
2. 2. REGULATORY & LEGAL FRAMEWORK (KINGDOM OF SAUDI ARABIA)
2.1 These Terms are governed by and construed in accordance with:
- The laws of the Kingdom of Saudi Arabia
- Saudi E-Commerce Law
- Saudi Personal Data Protection Law (PDPL)
- Saudi Anti-Cybercrime Law
- Communications, Space & Technology Commission (CST) regulations
- Applicable Islamic Sharia principles
2.2 The competent courts of the Kingdom of Saudi Arabia shall have exclusive jurisdiction.
2.3 English is the authoritative contractual language.
Arabic translations may be provided for regulatory or consumer purposes. Where Saudi law requires, the Arabic version shall prevail only to the extent mandated.
3. 3. ACCEPTANCE, STRUCTURE & LEGAL INCORPORATION
3.1 By accessing our website, creating an account, executing an order, or making payment, you irrevocably agree to be bound by these Terms.
3.2 These Master Terms incorporate all Modules by reference, as if fully set out herein.
3.3 In the event of conflict:
- These Master Terms prevail
- Then the relevant Service Module
- Then any order-specific terms expressly agreed in writing
4. 4. ELIGIBILITY & AUTHORITY
4.1 You confirm that you are at least 18 years of age and legally capable.
4.2 If acting on behalf of an entity, you warrant that you have full legal authority to bind that entity.
5. 5. ACCOUNT REGISTRATION & SECURITY
5.1 You must provide accurate, current, and complete information at all times.
5.2 You are solely responsible for all activity conducted through your account.
5.3 The Company may suspend or terminate accounts without notice where information is false, misleading, unverifiable, or required by law or regulation.
6. 6. SCOPE OF SERVICES & MODIFICATION RIGHTS
6.1 Services are provided on an “as-is” and “as-available” basis unless expressly stated otherwise.
6.2 The Company may modify, upgrade, reconfigure, relocate, or discontinue any Service:
- To comply with CST or governmental requirements
- For security, operational, or infrastructure reasons
- Due to third-party dependency changes
No such modification shall constitute breach.
7. 7. ORDERS, PAYMENTS & CURRENCY
7.1 Prices are exclusive of applicable taxes unless stated.
7.2 You authorize the Company to charge any registered payment method on file.
7.3 Where payments are processed via third-party platforms (including Apple Pay), currency conversion is subject to the platform’s mechanisms. Verified under-crediting will be corrected in accordance with the Billing & Currency Policy.
7.4 Failure of payment authorization may result in immediate suspension.
8. 8. REFUNDS & BILLING GOVERNANCE
8.1 Refund eligibility, exclusions, and limitations are governed exclusively by the Billing, Refund & Currency Policy.
8.2 Domain registrations, SSL certificates, VPS, add-ons, and setup fees are non-refundable unless mandated by law.
9. 9. ACCEPTABLE USE, ABUSE & EMERGENCY ACTIONS
9.1 You must comply with all applicable Saudi laws and the Acceptable Use Policy.
9.2 The Company may immediately suspend or restrict Services without notice where:
- Illegal activity is suspected
- Security or regulatory risk exists
- Lawful authority requires action
9.3 No refunds shall be due for actions taken under this clause.
10. 10. DATA PROTECTION, PDPL & CONFIDENTIALITY
10.1 You are the data controller of your content.
10.2 The Company acts as data processor solely to deliver the Services.
10.3 You explicitly consent to cross-border data processing where technically necessary.
10.4 Data handling is governed by the Privacy Policy and Data Processing Addendum.
11. 11. LAWFUL ACCESS, MONITORING & DISCLOSURE
11.1 The Company may monitor systems, logs, and traffic to:
- Ensure compliance
- Protect infrastructure
- Meet CST and legal obligations
11.2 The Company may disclose data without notice to courts, law enforcement, CST, or government authorities.
12. 12. DOMAIN NAME SERVICES (MODULE C)
12.1 Domain services are governed by the Domain Name Registration Policy.
12.2 The Company does not guarantee domain availability, ownership, or continued registration.
12.3 Registry decisions are final and outside the Company’s control.
13. 13. SSL & DIGITAL CERTIFICATE SERVICES (MODULE D)
13.1 SSL services are governed by the SSL / Digital Certificate Policy.
13.2 The Company acts as a reseller/facilitator, not a Certificate Authority.
13.3 Certificates are subject to CA validation, revocation rights, and non-refundability once issued.
14. 14. INTELLECTUAL PROPERTY
14.1 You retain ownership of your content.
14.2 You grant the Company a worldwide, royalty-free license to host, process, and transmit your content to provide Services.
14.3 You warrant non-infringement and indemnify the Company accordingly.
15. 15. CUSTOMER INDEMNITY (CRITICAL)
15.1 You shall fully indemnify and hold harmless the Company from all claims, losses, damages, fines, penalties, and expenses arising from:
- Your use of the Services
- Breach of these Terms or any Module
- Violation of Saudi or international law
- Third-party claims
This clause survives termination.
16. 16. SERVICE AVAILABILITY & NO SLA
16.1 No Service Level Agreement applies unless expressly agreed in writing.
16.2 The Company does not guarantee uninterrupted or error-free operation.
17. 17. LIMITATION OF LIABILITY
17.1 The Company is not liable for indirect, consequential, or economic losses.
17.2 Maximum aggregate liability shall not exceed 100% of fees paid in the preceding 12 months.
17.3 Nothing excludes liability for fraud or gross negligence where prohibited by law.
18. 18. FORCE MAJEURE
18.1 The Company is not liable for failures caused by events beyond reasonable control, including government action, cyber incidents, or infrastructure failures.
19. 19. TERMINATION & DATA DELETION
19.1 The Company may terminate Services for breach, non-payment, or regulatory reasons.
19.2 Upon termination, data may be permanently deleted without recovery.
20. 20. ASSIGNMENT & CORPORATE EVENTS
20.1 The Company may assign or transfer this Agreement in connection with merger, acquisition, restructuring, or asset sale.
21. 21. SURVIVAL
Clauses relating to payments, liability, indemnity, jurisdiction, and data protection survive termination.
22. 22. ENTIRE AGREEMENT & AMENDMENTS
22.1 These Terms and incorporated Modules constitute the entire agreement.
22.2 Continued use after updates constitutes acceptance.
23. 23. NOTICES
All notices shall be delivered electronically via registered email or account dashboard.
